Terms of Service

1. Who these terms are between

These terms are between Command and Consequence Leadership Group LLC ("we", "us"), and the fire department, district, authority or other agency that holds the account ("you", "the department"). They cover use of ProbieTrack.

2. What the service is

ProbieTrack records the training, evaluation and probationary status of members of your department. It stores what your people enter and produces documents from it. It does not tell you whether your program complies with anything. It stores the guideline documents you upload and records which version was in force on a given date; it does not read, interpret or assess them, and no output of the service is a legal, employment or accreditation opinion.

3. Your data is yours

You own everything you put into the service, including the records your people create and the documents you upload. We hold it to run the service for you and for no other purpose. Specifically, we do not sell it, we do not share it between departments, and we do not use it to train models.

You can export all of it at any time, including while your account is suspended or lapsed, from Settings → Your data. We will also produce a complete archive on request.

4. Accounts and access

Accounts are created by invitation from an administrator at your department. Nobody can register themselves into your account. You are responsible for who you invite and for what tier of access you give them.

You should assume the service is holding personnel records, and treat access to it the way you treat access to a personnel file.

5. Support access

To help with a problem, we may sign in to your account as one of your administrators. When we do: the session is read-only, it expires automatically, a banner is shown on every page for its duration, and both its start and end are written to your own audit trail with the reason given, where your administrators can read them.

6. Payment

Every department starts with a 90-day free trial. No card is required to begin, and nothing is charged until you choose a plan.

Plans are billed in advance, monthly or annually, and renew automatically for the same period until you cancel. Current prices are shown on the pricing page: Station $59 a month or $590 a year, Company $119 or $1,190, Battalion $239 or $2,390. Academy and Consortium arrangements are priced per agreement.

If we change a price, we will tell your administrators at least 30 days beforehand and the new price applies at your next renewal — never in the middle of a term you have already paid for. You can cancel before it takes effect. Payments are handled by Stripe; we do not store card details.

If payment lapses, your account becomes read-only. Your records are not deleted, hidden, or held back. You keep full read and export access to everything, and writing resumes when billing is current.

7. Ending the agreement

You can close your account at any time. Deletion begins a 30-day window during which nothing is destroyed and you can cancel or export. After that window, your data is permanently removed and cannot be recovered.

You can cancel at any time from the billing page. Cancellation takes effect at the end of the period you have paid for, and we do not pro-rate a part-used period, with one exception: within 60 days of your first payment, ask and we will refund it in full, no questions asked. That is the guarantee on the pricing page, and it means what it says.

We may end this agreement if you materially breach these Terms and have not put it right within 30 days of us telling you. We may end it immediately, refunding any unused prepaid period, if we find that your agency is one we cannot contract with under section 10.

Non-payment is not a breach that ends this agreement. It makes the account read-only, as section 6 describes, and nothing is deleted.

8. Availability

8.1 Service levels. We use commercially reasonable efforts to keep the Service available 24 hours a day, 7 days a week, excluding Scheduled Downtime and Excused Outages. This target is a goal, not a warranty, and it does not entitle you to credits, refunds, or damages if we miss it.

8.2 Scheduled downtime. We may take the Service offline for maintenance, upgrades, or security work. Where practical, we schedule this outside peak hours and post notice on the Service or by email at least 24 hours ahead.

8.3 Excused outages. Availability targets do not apply to downtime caused by: (a) your equipment, software, or internet connection, (b) third-party services we rely on, including hosting, payment processors, email delivery, and backup storage, (c) denial-of-service attacks or other malicious conduct by third parties, (d) your breach of these Terms, or (e) events beyond our reasonable control, including natural disasters, labor disputes, government action, or utility failures.

8.4 Changes. We may modify, suspend, or discontinue any part of the Service at any time. If we discontinue a paid feature during your subscription term, we refund the unused prorated portion of fees paid for that feature, and that refund is your only remedy.

9. Liability

9.1 Disclaimer of warranties. We provide the Service "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any record, evaluation, or export will be accurate, complete, or current. You are responsible for the content your personnel enter, and for confirming that your use of the Service satisfies your own recordkeeping, accreditation, and collective bargaining obligations before relying on it.

9.2 Exclusion of damages. To the fullest extent the law allows, neither we nor our officers, employees, contractors, or licensors are liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost revenue, or loss of goodwill, arising from or related to the Service or these Terms, whether in contract, tort, or otherwise, even if we knew such damages were possible.

9.3 Cap. To the fullest extent the law allows, our total liability to you for all claims arising from or related to the Service or these Terms will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) $100.

9.4 Your indemnity. You will defend, indemnify, and hold harmless us and our officers, employees, contractors, and licensors from any claim, loss, liability, or expense, including reasonable attorney fees, arising from: (a) your use of the Service, (b) content you submit, (c) your breach of these Terms, (d) your violation of any law or third-party right, including employment, labor, public records, and privacy laws, or (e) any employment, disciplinary, or certification decision you take in reliance on records kept in the Service. We may assume control of any matter you indemnify, at our expense, and you will cooperate.

9.5 Basis of the bargain. You agree that the limits in this Section are a fundamental part of the deal between us, that we would not offer the Service without them, and that they apply even if a remedy fails its essential purpose.

9.6 State exceptions. Some jurisdictions do not allow certain exclusions or limits. In those jurisdictions, the exclusions and limits above apply to the fullest extent permitted, and nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence where the law prohibits such limits.

9.7 Time limit. You must bring any claim against us within one year after it arises, or it is permanently barred.

10. Agencies we do not serve

We decline service to certain agencies for conflict-of-interest reasons, and the check runs before an account can be created. This is not a comment on any department; it is a boundary we hold for our own reasons.

11. Changes

We may change these Terms. Where a change materially affects your rights, we will email your administrators at least 30 days before it takes effect and update the date at the top of this page. Continuing to use ProbieTrack after that date means you accept it; if you would rather not, cancel before it takes effect and we will refund the unused part of your term.

A change required by law, or needed to close a security risk, may take effect sooner. We will say so when we tell you.

12. Law and disputes

These Terms are governed by the law of the State of Michigan, without regard to its conflict-of-laws rules, and the state and federal courts sitting in Michigan have exclusive jurisdiction.

If you are a public agency whose own law prevents you from agreeing to another state's governing law or to an out-of-state forum, that paragraph does not apply to you. This agreement is then governed by the law of the state your agency sits in, and any dispute is heard there. We would rather serve your department than win a clause.
